Suremate services are owned and operated by Lychee Technology Inc. and its affiliates (hereinafter referred to as “we”). By using our services (including software, data, documentation, and websites), you agree to and comply with these terms. By using our services, you acknowledge that you have read, understood, and agree to comply with these terms. We are committed to complying with all applicable Canadian federal and provincial privacy laws, including but not limited to the British Columbia Personal Information Protection Act (PIPA) and the federal Personal Information Protection and Electronic Documents Act (PIPEDA).

You must be at least 18 years of age to use this service. If you are using this service on behalf of another person or entity, you must have the authority to accept these terms on their behalf. You must provide accurate and complete information to register an account. You may not share your access credentials or account with anyone outside your organization, and you are responsible for all activities conducted using your credentials.

(a) Service Use. You may access the non-exclusive right to use the Service as granted to you, subject to these terms. You must comply with these terms and all applicable laws when using the Service. We and our affiliates own all rights, title, and interest in the Service.

(b) Feedback. We appreciate your feedback, comments, ideas, suggestions, and proposals for improvement. If you provide any such content, we may use it without restriction or compensation to you.

(c) Restrictions. You may not (i) use the Service in any manner that infringes, misappropriates, or violates any person's rights; (ii) reverse engineer, decompile, disassemble, translate, or otherwise attempt to discover the source code or underlying components of the Service's models, algorithms, and systems (unless such restrictions are prohibited by applicable law); (iii) send us any personal information of minors. You must comply with any rate limits and other requirements set forth in our documentation.

(d) Third-Party Services. Any third-party software, services, or other products you use while using the Service are subject to their own terms, and we are not responsible for third-party products.

(a) Your Content. You may provide inputs to the Service (“Inputs”) and receive outputs generated and returned by the Service based on the Inputs (“Outputs”). Inputs and Outputs are collectively referred to as “Content.” Between the parties and to the extent permitted by applicable law, you own all Inputs. Subject to your compliance with these terms, Suremate hereby transfers all rights, title, and interest in the Service to you. This means that if you comply with these terms, you may use the Content for any purpose, including commercial purposes such as sales or publication. Suremate may use the Content to provide and maintain the Service, comply with applicable law, and enforce our policies. You are responsible for the Content, including ensuring that it does not violate any applicable law or these terms.

(b) Using Content to Improve the Service. We may use content from the Service to help develop and improve our Service. If you do not want your content to be used to improve the Service, please send an email to [email protected]. Please note that in some cases, this may limit our ability to better address your specific use case.

(c) Accuracy. Artificial intelligence and machine learning are rapidly evolving fields of research. We continuously strive to improve our services to make them more accurate, reliable, secure, and beneficial. Given the probabilistic nature of machine learning, in certain circumstances, using our services may result in erroneous outputs that inaccurately reflect real people, places, or facts. You should assess the accuracy of any outputs based on your use case, including through manual review of outputs.

Suremate is the culmination of significant investment in research and development. Therefore, all intellectual property rights related to Suremate, including but not limited to copyrights and trademarks, are exclusively owned by us. This intellectual property encompasses the codebase, algorithms, design, user interface, and any other creative elements that constitute Suremate.

-Ownership. By asserting ownership of the intellectual property, we retain the exclusive right to control and manage the use, distribution, and modification of Suremate. This ensures we maintain a competitive advantage in the market and protects the innovative contributions made by our team members.

-Usage Restrictions. Users are granted a limited, non-exclusive license to access and use the system in accordance with the Terms of Service for their intended purposes. However, users are explicitly prohibited from engaging in any activities that infringe upon our intellectual property. Specifically:

-Enforcement. We reserve the right to take legal action against any individual or entity found to be infringing our intellectual property rights. This may include seeking damages, injunctive relief, or other remedies as provided by applicable laws and regulations.

(a) Security. You must implement reasonable and appropriate measures designed to help protect your access to and use of the Services. If you discover any vulnerabilities or breaches related to your use of the Services, you must immediately contact Suremate and provide details of the vulnerability or breach.

(b) Personal Data Processing. If you use the Services to process personal data, you must provide legally sufficient privacy notices and obtain the necessary consent to process such data, and you represent to us that you are processing such data in accordance with applicable law.

(a) Termination; Suspension. These Terms take effect upon your first use of the Services and remain in effect until terminated. You may terminate these Terms at any time for any reason by ceasing to use the Services and Content. We may terminate these Terms by providing you with 30 days' notice. If you materially breach Section 2 (Usage Requirements), Section 5 (Security and Data Protection), or Section 14 (General Terms), if there are changes in our relationship with third-party technology providers that are beyond our control, or to comply with legal or governmental requirements, we may terminate these Terms immediately upon notice to you. If you fail to comply with these Terms, if your use poses a security risk to us or any third party, or if we suspect your use is fraudulent or may subject us or any third party to liability, we may suspend your access to the Service.

(a) Disclaimer. The Service is provided “as is.” Except as prohibited by law, we and our affiliates and licensors make no warranties of any kind (express, implied, statutory, or otherwise) regarding the Services and disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, quality satisfaction, non-infringement, and quiet enjoyment, as well as any warranties arising from any course of dealing or trade usage. We do not warrant that the Services will be uninterrupted, accurate, or error-free, nor do we warrant that any content will be secure or will not be lost or altered.

(b) Limitation of Liability. We or any of our affiliates or licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, goodwill, use, data, or other losses, even if we have been advised of the possibility of such damages. The limitations in this section apply to the fullest extent permitted by applicable law.

Suremate offers multi-mode functionality, allowing users to interact via voice commands, text input, and other supported modes. Users understand that the accuracy of AI responses may vary depending on input and environmental factors.

Suremate uses artificial intelligence to provide personalized reminders and notifications based on users' preferences and historical data. Although Suremate strives to ensure accuracy, Suremate is not liable for any errors or omissions in the reminders or notifications provided by the AI system.

Suremate simplifies complex tasks by automating and optimizing processes using AI algorithms. Users acknowledge that the effectiveness of task processing may depend on various factors, including data quality and system performance.

Suremate seamlessly integrates with compatible devices and platforms without requiring additional downloads or installations. However, Suremate does not guarantee compatibility with all devices and platforms.

Suremate facilitates group communication through its chat support feature. Users are responsible for their behavior in group chats and must comply with our guidelines.

Suremate synchronizes user data and settings across multiple devices to provide a seamless user experience. Users understand that synchronization may be affected by network availability and device compatibility.

(a) Relationship Between the Parties. These terms do not constitute a partnership, joint venture, or agency relationship between you and Suremate or any of its affiliates. Suremate and you are independent contractors, and neither party has the authority to bind the other or assume obligations on behalf of the other without the prior written consent of the other party.

(b) Brand Usage. You may not use the name, logo, or trademark of Suremate or any of its affiliates without our prior written consent.

(c) Copyright Claims. If you believe your intellectual property rights have been infringed, please send an email to [email protected]. We may remove or disable the allegedly infringing content and may terminate the accounts of repeat infringers.  

A written claim of copyright infringement must include the following information:  

(d) Assignment and Delegation. You may not assign or delegate any rights or obligations under these Terms, including those related to changes in control. Any purported assignment or delegation shall be void. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets, or to any affiliate or as part of a corporate reorganization.

(e) Modification. We may modify these terms from time to time by posting revised versions on the website, or if an update has a material adverse effect on your rights or obligations under these terms, we will notify you by sending an email to the email address associated with your account or providing an in-product notice. Such changes will take effect no sooner than 30 days after we notify you. All other changes will take effect immediately. Your continued use of the service after any changes constitutes your acceptance of such changes.

(f) Notices. All notices shall be in writing. We may notify you using the registration information you provided or the email address associated with your use of the Service. If sent via email or in-app notification, the Service shall be deemed delivered on the date of receipt.

(g) Waiver and Severability. If you fail to comply with these terms and Suremate does not immediately take action, this does not mean that Suremate waives any of our rights. If any part of these terms is deemed invalid or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permitted by law and will not affect the enforceability of any other provisions.

(h) Entire Agreement. These terms and any policies contained herein constitute the entire agreement between you and Suremate regarding the use of the service and, except for any specific service terms or any applicable enterprise agreement, supersede any prior or contemporaneous agreements, communications, or understandings between you and Suremate regarding the subject matter.

(i) Any dispute, controversy, or claim arising out of or relating to this Agreement, including its formation, interpretation, breach, termination, or validity, shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada. The parties agree that any such dispute shall be submitted to the exclusive jurisdiction of the courts of Vancouver, British Columbia, Canada.

We commit to adhering to responsible AI principles in product development and operations, avoiding any conduct that may harm or discriminate against users. Such conduct includes but is not limited to:

(a) Behavioral Manipulation: We will not influence or manipulate user behavior through deceptive, exploitative, or unethical means. Our systems will operate transparently to ensure users' autonomy and decision-making capacity remain intact.

(b) Exploitation: We will not take advantage of users' vulnerabilities or intentionally cause any form of physical, psychological, or economic harm. Our system design will always prioritize users' well-being and safety to prevent exploitation and protect users' rights.

User Obligations

In addition to our strict compliance with laws and regulations, you, as a user, must also fulfill certain obligations to jointly maintain the integrity and security of the system. These obligations include:

(a) Compliance with Terms and Laws: When using or accessing Suremate services, you must comply with these Terms of Service and all applicable laws and regulations. This includes refraining from any activities that may harm the integrity or security of the system.

(b) Responsible Use: You are responsible for your actions when using Suremate and must not engage in any activities that may harm the system or its functionality. This includes, but is not limited to, attempting to circumvent security measures, introducing malicious code, or performing any other actions that may disrupt or harm the system's operation.

(c) Reporting Issues: We encourage you to report any suspicious violations or issues you encounter while using the system, such as behavior manipulation, exploitation, or other prohibited activities.

By adhering to these guidelines and collaborating with us, we aim to ensure the service operates safely and reliably, and to collectively maintain user trust and confidence.

A. Billing Policy. Certain aspects of the Services may require payment or other fees. If you choose to use the paid aspects of the Services, you agree to the pricing and payment terms applicable to you. Our pricing and payment terms are hereby incorporated by reference into this Agreement. Suremate may, at its sole discretion, add new services for additional fees and may increase or modify the fees and charges for existing services; however, if we have provided you with a specific term and subscription fee for your use of the Services (as defined in Section B), we agree that the subscription fee will remain in effect for that term. Any changes to our pricing and payment terms will take effect during the billing cycle following our notification to you in accordance with these terms.

B. “Subscription Fee” means the recurring amount you (or, where applicable, your team sponsor) pay for any specific part of the subscription service (“Subscription”).

C. Subscription:a. Automatic Renewal. Subscriptions are provided on an automatic renewal basis. Your subscription will automatically renew at the end of each subscription period, with the renewal period equal to the initial subscription period (each such period being a “Subscription Period”), unless you cancel the applicable subscription in accordance with the cancellation procedures set forth in Section C(c) of these terms. If you have registered for a free trial of the service, your subscription (and the first subscription period) will begin after the free trial period ends.

b. Automatic Billing and Policies. When you purchase a subscription, you expressly acknowledge and agree that: (i) Suremate and/or its third-party payment processor are entitled to charge you the subscription fee for the applicable subscription, any applicable taxes, and any other fees that may arise from your purchase and use of the subscription at the beginning of each subscription period, which fees may be adjusted in accordance with these terms and conditions, provided that your subscription remains active; and (ii) your subscription is ongoing until the earlier of: 1. You cancel the subscription (including any notice period specified in Section C(c) of these terms) and 2. Your access to the subscription or service is suspended, terminated, or canceled in accordance with these terms. You acknowledge and agree that billing amounts may vary due to promotional offers, changes to subscription fees pursuant to pricing and payment terms, and/or changes to applicable taxes, and you authorize us to charge your payment method for the adjusted amounts.

c. Cancellation Procedure. To cancel any subscription, you must notify us by using the corresponding feature within the service or by emailing us at [email protected] at least one day before the start of the next subscription period. You will continue to have access to the subscription until the current subscription period ends.

d. Cancellation; Refunds. You may cancel your user account or any subscription at your discretion. Purchases are non-refundable; Suremate has no obligation to refund any amounts, but may do so at its discretion. Without prejudice to the foregoing sentence, you acknowledge and agree that in the following circumstances: (i) Suremate suspends or terminates your subscription, your user account, or these terms, or (ii) you cancel your subscription, you will not be entitled to any refund for such suspension, termination, or cancellation, nor will you be entitled to any refund for any unused portion of your subscription, any prepaid amounts related to your subscription, any licenses or subscription fees for any part of the service, any content or data related to your user account, or any other matters.

We prioritize the protection of user data and are committed to maintaining the highest standards of privacy and data security. Our data processing practices are governed by our Privacy Policy, which is an integral part of these Terms of Service.
